5.1 Consulting Fees: The service agreement will outline the fees for consulting services and specify the payment terms. Payment must be made according to those terms.
5.2 Recruiting Fees: Recruiting fees are typically structured as a percentage of the placed candidate’s first-year salary or as a flat fee, depending on the agreement. Payment terms will be detailed in the recruiting agreement.
5.3 Late Payments: Late payments may incur interest charges as specified in the service agreement. Failure to pay may result in suspension of services or contract termination.
6.1 Confidential Information: Both parties agree to keep confidential information shared during the service relationship confidential. Confidential information includes any non-public information disclosed by one party to the other that is marked or otherwise identified as confidential.
6.2 Exceptions: Confidentiality obligations do not apply to information that is already public, disclosed by a third party without confidentiality obligations, or required to be disclosed by law.
7.1 Limitation of Liability: Pierre Helen Lilia is not liable for any indirect, incidental, special, or consequential damages arising from or in connection with the services provided. Our liability for direct damages shall be limited to the amount paid by the Client for the services in question.
7.2 Indemnification: The Client agrees to indemnify and hold Pierre Helen Lilia harmless from any claims, damages, or expenses arising from the Client’s use of the services or breach of these Terms.
8.1 Termination by Client: The Client may terminate Pierre Helen Lilia’s service agreement by providing written notice as specified in the contract. Any fees due up to the termination date will remain payable.
